PLEASE READ THESE TERMS OF SALE CAREFULLY BEFORE ORDERING PRODUCTS ONLINE FROM THE WGD PLATFORM. PLEASE, NOTE THAT THESE TERMS OF SALE INCLUDE THE ADDITIONAL TERMS INCORPORATED HEREIN BY REFERENCE.

APPLICABILITY

You are reading these Terms of Sale (“Terms of Sale”) because you are using a WGD website, digital experience, social media platform, mobile app, wearable technology, or one of our other products or services, all of which are part of WGD’s Platform (“Platform”). These Terms of Sale create a legally binding agreement between you and WGD and its affiliates (which we may refer to as “WGD,” “we,” “us,” or “our”) regarding orders placed for products available on the Platform.   WGD may revise these Terms of Sale without notice by posting revised Terms of Sale on its Platform.  The Terms of Sale posted on the Platform at the time you place your order on the Platform will govern that purchase.  Please read these terms carefully and check that the details of your order are complete and accurate before submitting your order. If you think that there is a mistake, please contact us at [email protected]. WGD’s terms of service and privacy policy are incorporated herein by this reference. 

PLACING ORDERS ON THE PLATFORM 

ELIGIBILITY TO ORDER

To place an order on the Platform, you must be of legal age in your country and a consumer with an approved account.

HOW TO ORDER

You will need to submit an account request to: https://wholesalegrowersdirect.com/registration/  To place an order once your account is approved, you may need to set your browser to accept both (functional) cookies and pop-ups in order to be able to use all the functionalities of the Website, which includes designing customized items, adding items to your shopping bag and submitting your order. 

When you submit an order we will send you an email acknowledging receipt of your order.  Our acceptance of the order takes place when the Products are shipped to you – we will send you an email confirming that the Products have been shipped (“Order Confirmation”). At this point a contract, containing these Terms of Sale, comes into existence and is binding on you and us (the “Contract”). We recommend that you print or download a copy of these Terms of Sale and the relevant Order Confirmation for future reference.  If we are unable to supply you with a product, we will inform you of this in writing and will not process the order.

OUR RIGHT TO REJECT YOUR ORDER OR CANCEL A CONTRACT

Fulfillment of all orders on the Platform is subject to availability and we explicitly reserve the right not to accept your order for any reason. We also reserve the right to cancel a Contract by written notice to you in the following situations, without being liable for any damage or costs other than repayment of any amount received from you in relation to the Contract we cancelled:

  • the product is not available / in stock;
  • your billing information is not correct or not verifiable;
  • your order is flagged up by our security systems as an unusual order or an order susceptible to fraud;
  • your bank transfer payment is not received within 12 calendar days after acceptance of your order;
  • we believe you are under the legal age in your country;
  • there was an error in the price displayed on the Platform;
  • we could not deliver to the address provided by you;
  • due to an Event Outside Our Control (see below); or
  • in the event of misspelling, pricing or other errors or mistakes in the Platform information.

DATA CHECK

When you send us your order, we may run some checks on it before it is fulfilled. These checks may include verifying your address and checking for fraud.  We run partly automated checks on all purchases to filter out unusual or suspect transactions, or transactions which can be identified as susceptible to fraud. Suspected fraud on the Platform will be investigated and if necessary prosecuted. 

TITLE TRANSFER & RISK OF LOSS

The title and risk of loss for products purchased from WGD pass to you upon our delivery to the carrier.  Title to product(s) will not transfer until full payment has been received.

PRICE/PAYMENT

PAYMENT PROCESSING

Except with respect to pre-ordered products.  Payments can only be processed if the billing information can be verified.  

If you register to create an account to receive payments via our application, you expressly authorize WDG LLC’s service provider, Dwolla, Inc. to originate credit transfers to your financial institution account. You must be at least 13 years old and obtain parental permission if under 18 to receive funds. You authorize us to collect and share with Dwolla your personal information including full name, email address and financial information, and you are responsible for the accuracy and completeness of that data. PRICES AND CURRENCY

The product prices displayed on the Platform are inclusive of Value-Added Tax (VAT), as applicable. Shipping rates are applied per order. The exact shipping rates depend on the country where your order is being delivered to. 

Prices are quoted in local currency. If you change the country of delivery while browsing or during check out, prices from that moment may be quoted in a different currency. Please note that changing the country of delivery may have an influence on the price due to a change in currency or to country specific pricing

YOUR TOTAL PRICE

The total price specified in the final check out screen includes tax and shipping costs. This price will be recorded in the Order Confirmation, which we recommend you print or download for future reference. If paying by credit card, the total amount for your entire order will be reflected on your statement in your local currency. 

If your local currency is different from the currency in which the prices are quoted, your bank will apply the exchange rate applicable per the date of purchase. Your bank may apply a different exchange rate, which is beyond our control. 

PRICE CHANGES

The prices of the products will be as displayed on the Platform. Prices may change from time to time, but changes will not affect any order which we have confirmed in an Order Confirmation.

REFUND INFORMATION

Refunds will be issued based on the original form of payment. If you paid via ACH/bank transfer refunds are processed only via check sent to the address on file.  

EVENTS OUTSIDE OUR CONTROL

An Event Outside Our Control means any act or event beyond our reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic, pandemic, or other natural disaster, or failure of public or private telecommunications networks. 

If an Event Outside Our Control takes place that affects the performance of our obligations under these Terms of Sale:

a) We will contact you as soon as reasonably possible to notify you; and

b) Our obligations under these general conditions will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control. 

Where the Event Outside Our Control affects Our delivery of a product to you, we will arrange a new delivery date with you after the Event Outside Our Control is over.  You may cancel the contract if an Event Outside Our Control takes place and you no longer wish us to provide the products. Please see your cancellation rights under Cancellation above. 

OTHER IMPORTANT TERMS

We may transfer our rights and obligations under a contract to another organization, but this will not affect your rights or our obligations under these Terms of Sale. 

You may only transfer your rights or your obligations under these Terms of Sale to another person if we agree in writing. 

Each of the paragraphs of this Terms of Sale operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.

If we fail to insist that you perform any of your obligations under these Terms of Sale, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. 

If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you. We will not file a copy of the contract between us.

30-Day Return Policy

You may exchange or return recently purchased merchandise for up to 30 days if the merchandise and its packaging are in new, unused condition. You don’t even need a receipt — we’ll have a record of your online purchase.   Credit cards will be refunded back to the original card, however ACH payment refunds will be processed via check sent to the address on file.

A 15% restocking fee will be applied on all returned merchandise. Any additional fees and shipping costs will be the responsibility of the customer. Return shipping charges will be refunded only if the item is defective or shipped as a result of our error (damaged, defective, wrong item sent, etc). Please review our return policy prior to ordering. 

How To Order

Secure Online Ordering – All items on this website can be purchased safely online using our secure shopping cart. This cart eliminates the possibility, however small, that someone might capture and view your sensitive information — credit card number, etc — while it is en route over the internet. Best of all, our shopping cart makes ordering over the internet quick and easy.

To place an online order

  1. Select product options from the dropdown menu and click the “Add to Cart” button next to the item(s) you would like to purchase.
  2. Within your shopping cart, select quantity and product qualities (if applicable). You can change your cart any time prior to ordering.
  3. Select “Proceed to checkout” or “Continue shopping.”

Fast Free Shipping Over $3,500

  • Orders under $3,500 will be charged standard shipping rates. If faster delivery is required, Next Day and 2-Day services are available.
  • Orders over $3,500 (including up to 1 pallet of bagged soil/ growing media) will be prepaid by Wholesale Growers Direct within the lower 48 states.
  • Orders over $5,000 (including up to 2 pallets of bagged soils/ growing media) will be prepaid by Wholesale Growers Direct within the lower 48 states.
  • Additional shipping incentives are available – contact us for details!
  • Orders shipped to Alaska, Hawaii, Puerto Rico and Guam do not qualify for free shipping.

Tracking Shipments

As soon as your package leaves our warehouse you will receive a shipping confirmation email with tracking information. From there, you can monitor the shipment’s progress until it is delivered. Please wait 24 hours after receiving your shipping confirmation email to track your order. It may take this long before the shipment is checked into the carrier’s tracking system.

Packaging

If your order shows up in a used box with foam peanuts, do not be offended. We recycle sturdy boxes, peanuts and newspapers whenever we can to reduce waste.Orders over $5,000 (including up to 2 pallets of bagged soils/ growing media) will be prepaid by Wholesale Growers Direct within the lower 48 states.

Shipping & Delivery

Fast Service – Reliable Shipping

Orders are shipped direct from one of eight distribution centers across North America. All in-stock orders are shipped the same business day if received by 10:00 AM (MST). Orders received after 10:00 AM are shipped the following business day. Please review our free freight policy prior to ordering.

Note: Some delays may occur during high volume times of the year, but please know that we work hard to send out your package as fast as we can.

Packages do NOT ship from our distribution centers on the following holidays:

  • New Year’s Day
  • 4th of July
  • Martin Luther King Jr. Day
  • Labor Day
  • President’s Day
  • Thanksgiving
  • Memorial Day
  • Christmas

Damages/ Shortages

All freight damages and shortages must be noted on the bill of lading at the time of delivery. You should write the description and damaged quantity, if known. If you are unable to inspect the shipment completely, please sign the delivery receipt subject to count and inspection (STC&I). Please ensure the driver has signed the delivery receipt after you have noted any damages/ shortages with your shipment.

Wholesale Growers Direct and the freight carrier are not responsible for the damages/ shortages not clearly noted on the Delivery Receipt (DR). Please email a copy of the bill of lading with the notes within 24 hours of receipt of your order. If there is damage to your shipment, you must take photos and email to [email protected].

Packaging

Orders shipped to Alaska, Hawaii, Puerto Rico or Guam do not qualify for free shipping.

We will determine which ground carrier is used for free freight orders. Should you designate a different carrier, any freight cost difference will be added to the invoice.

If expedited delivery is required, Next Day and 2-Day services are available at an extra charge.

Exception

Free Shipping may not apply to certain oversize and overweight items. Wholesale Growers Direct will review each order independently and reserves the right to contact you with additional shipping costs. At that time, you may confirm the additional charges or change your order.

Damages/ Shortages

Hazardous Materials

Wholesale Growers Direct will apply a $15 hazardous material fee to products falling within this category (pH buffer, hydrogen peroxide, etc).We will determine which ground carrier is used for free freight orders. Should you designate a different carrier, any freight cost difference will be added to the invoice.Orders under $3,500 will be charged standard shipping rates.

Returns & Exchanges

 

Policies & Procedures

Wholesale Growers Direct guarantees ALL of our equipment and follows the warranty guidelines put in place by our various vendors. Please refer to these warranty instructions for further information or email us for updates. Customer is to look solely to each manufacturer’s limited warranty and shall not look to WGD LLC in regards product defects or use of products for a particular purpose.  All lighting systems should be tested thoroughly before being returned. Please note that some manufacturers do not credit or replace products — they repair and return them. This will create longer turn-around times on these items, lengthening the processing of the return.

Return Merchandise Authorization

All product returns require a Return Merchandise Authorization (RMA) number from Wholesale Growers Direct. To receive an RMA number, simply email us at [email protected]. Any unauthorized return will be refused and subject to return shipping fees. Customers are responsible for return shipping costs and getting items back to us.

30-Day Return Policy

Defective Products

In the event your product is found to be defective within the first 30 days after purchase, Whole Growers Direct will exchange your product for a new one, issue a credit towards a different product or issue a refund, if applicable. Return shipping charges will be refunded only if the item is defective or shipped as a result of our error (damaged, defective, wrong item sent, etc).

Tracking Your Shipment

Once your order ships, an email confirmation will be sent with tracking information. From there, you can monitor the shipment’s progress until it is delivered. You may also Track Your Order by accessing your WHOLESALEGROWESDIRECT.com account and viewing the order status and tracking information.

  1. Login using the email address and password you used to place the order.
  2. Click “Order History” and find the shipment you want to track.
  3. Click “Track Package” to monitor your shipments progress.

Note: Every now and then, you may get a response of “tracking number not found.” This occurs when the shipping notification is sent out prior to the package being scanned at the carrier’s terminal. If you wait a few hours, it will show your scan and tracking progress.
